Terms of Service
Summary
These Terms of Service ("Terms") govern your access to and use of the JetFuelTenders website, platform, and related services (collectively, the "Service"). The Service is operated by Jet Fuel Tenders LLC, a Wyoming limited liability company ("JetFuelTenders", "we", "us", or "our"), which owns and operates the website jetfueltenders.com.
By accessing or using the Service, you agree to these Terms on behalf of yourself and the organization you represent ("Customer"). If you do not agree, do not use the Service.
Acceptance of Terms
These Terms form a binding agreement between Customer and JetFuelTenders. The individual creating an account represents that they have authority to bind the Customer to these Terms. For paid plans, the Customer's specific pricing, term, and additional commitments are set out in an Order Form or online checkout page that incorporates these Terms by reference.
We may update these Terms from time to time. Material changes will be communicated by email or in-platform notice at least 30 days before they take effect for paid customers, and posted to this page for all users. Continued use after changes take effect constitutes acceptance.
The Platform
JetFuelTenders is a cloud-based platform for managing competitive jet fuel tenders between airlines (or fleet operators) and fuel suppliers. The Service includes tender configuration, supplier invitation and bidding, bid normalization and benchmarking against market indices (where licensed), awards management, audit logging, reporting, and related collaboration tools.
We may add, modify, or discontinue features at any time. We will not make changes that materially degrade the Service's core functionality during a paid Customer's active subscription term without reasonable notice.
Accounts & Access
Customer must register an account to use the Service. Customer is responsible for:
- Providing accurate, current, and complete account information.
- Maintaining the confidentiality of authentication credentials, including passwords and 2FA secrets.
- All activity that occurs under Customer's account, including activity by users Customer authorizes.
- Promptly notifying us at [email protected] of any suspected unauthorized access or breach.
Customer must be at least 18 years old. The Service is not intended for consumers—it is a B2B platform for businesses engaged in commercial aviation fuel procurement.
Acceptable Use
Customer agrees not to:
- Use the Service in violation of applicable laws or regulations.
- Submit false, misleading, or fraudulent tender or bid information with intent to deceive other parties.
- Attempt to gain unauthorized access to other tenants' data or systems.
- Reverse engineer, decompile, or otherwise attempt to derive the source code of the Service, except as expressly permitted by law.
- Interfere with or disrupt the Service, including via malicious code, denial-of-service attacks, or excessive automated requests beyond documented API rate limits.
- Use the Service to transmit unlawful, harassing, defamatory, or infringing content.
- Resell, sublicense, or otherwise commercialize the Service to third parties without our written consent.
We may suspend or terminate access for Customers who violate these provisions.
Customer Content
"Customer Content" means all data, files, tenders, bids, documents, messages, and other materials Customer or its users submit to the Service. As between the parties, Customer owns all Customer Content.
Customer grants JetFuelTenders a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, and process Customer Content solely as needed to provide the Service, perform analytics on aggregated and de-identified data, and comply with legal obligations.
Customer is responsible for the legality, accuracy, and quality of Customer Content and for ensuring it has all necessary rights and consents before submission.
Fees & Billing
Pricing for paid plans is set out on our pricing page or in a Customer's Order Form. Fees are billed annually in advance unless otherwise agreed.
- The Supplier plan is offered at no cost.
- Airlines may run their first tender end-to-end at no cost ("Pilot"). Continued use beyond the first tender requires a paid subscription.
- Fees are non-refundable except as required by law or expressly stated in an Order Form.
- Late payments accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower.
- Customer is responsible for all taxes other than taxes on JetFuelTenders' income.
- Third-party data licenses (Platts, Argus, OPIS) are billed separately by the respective providers and are not included in subscription fees.
Intellectual Property
The Service, including all software, designs, documentation, and trademarks, is the property of JetFuelTenders and its licensors and is protected by intellectual property laws. We grant Customer a limited, non-exclusive, non-transferable, revocable license to access and use the Service during the subscription term, in accordance with these Terms.
Feedback Customer provides about the Service is licensed to us on a perpetual, royalty-free basis and may be incorporated into the Service without obligation to Customer.
Disclaimers
The Service is provided "AS IS" and "AS AVAILABLE". To the maximum extent permitted by law, JetFuelTenders disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components. Market data displayed in the Service is provided by third parties and is subject to their accuracy, completeness, and timeliness. JetFuelTenders does not independently verify market data and is not responsible for decisions made in reliance on it.
Limitation of Liability
To the maximum extent permitted by law, JetFuelTenders' total aggregate liability arising out of or relating to these Terms or the Service is limited to the fees paid by Customer in the 12 months preceding the claim, or, for free-tier users, USD 100.
In no event will JetFuelTenders be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility of such damages.
These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose. Some jurisdictions do not allow these limitations; in those jurisdictions, our liability is limited to the smallest extent permitted by law.
Indemnification
Customer will defend, indemnify, and hold harmless JetFuelTenders, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Customer's use of the Service in violation of these Terms or applicable law.
- Customer Content, including any claim that Customer Content infringes a third party's rights.
- Customer's violation of any applicable laws, regulations, or contractual obligations to third parties.
Termination
Either party may terminate a paid subscription at the end of the then-current term by providing written notice at least 30 days before renewal. Customer may close a free account at any time through the platform settings.
We may suspend or terminate the Service immediately if Customer materially breaches these Terms or fails to pay fees when due, after a reasonable cure period where applicable.
On termination, Customer's right to access the Service ends. We will retain Customer Content as described in our Privacy Policy and provide an export on reasonable request, subject to retention obligations. Sections of these Terms that by their nature should survive termination (Customer Content license to the extent required for retained data, Disclaimers, Limitation of Liability, Indemnification, Governing Law) will survive.
Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Wyoming for any dispute arising out of or relating to these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
Changes
We may revise these Terms. The current version will always be available at this URL. Material changes will be notified to active Customers in advance as described in Acceptance of Terms.
